Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and ExecWrite (“Company,” “we,” “us,” or “our”), the operator of ExecWrite.com (the “Site”) and its associated tools and services (collectively, the “Services”). Your access to and use of the Services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Services.
By creating an account, initiating a free trial, or making any payment, you acknowledge that you have read, understood, and agree to be bound by these Terms, including the No-Refund Policy in Section 5.
Description of Services
ExecWrite provides a suite of AI-powered Google Ads optimization tools, including but not limited to:
- Hourly Bid Adjuster
- Wastage Recovery Snapshot
- Quality Score Optimizer
- AI Keyword Generator
- Search Term Analyzer
- Campaign Generator
The Services are provided on a subscription basis following a free trial period. Features, tool availability, and pricing are subject to change at our sole discretion with reasonable notice.
Accounts and Registration
To access the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep such information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. We reserve the right to terminate accounts or cancel subscriptions at our sole discretion.
Free Trials and Subscriptions
4.1 Free Trial
We may offer a free trial for new users. The free trial is limited to one (1) trial per person, email address, and household or business. Any attempt to circumvent this by creating multiple accounts violates these Terms and may result in immediate termination of all associated accounts without refund.
4.2 Subscription Billing
Following any free trial, your subscription automatically converts to a paid subscription and your payment method will be charged at the applicable rate. Fees are billed in advance on a monthly or annual basis. By providing a payment method, you authorize us to charge all fees due without further authorization.
4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to renewal. It is your sole responsibility to cancel before renewal if you do not wish to be charged. We are not responsible for charges resulting from your failure to cancel in a timely manner.
Payment Terms and No-Refund Policy
5.1 No Refunds
All charges are non-refundable. This includes, without limitation:
- Monthly or annual subscription fees
- Charges following automatic subscription renewal
- Charges incurred during a billing period in which you cancel
- Charges resulting from account upgrade or downgrade
- Charges due to failure to cancel prior to trial conversion
- Partial-period usage after cancellation
5.2 No Prorations
If you cancel mid-billing-cycle, you retain access through the end of the paid period, but no prorated refund will be issued for unused time. Access terminates at the conclusion of the current billing period.
5.3 No Exceptions — Chargeback Policy
We enforce this policy strictly and uniformly. Filing a chargeback or payment dispute with your bank in contravention of this policy constitutes a breach of these Terms. In the event of a chargeback, we reserve the right to: (a) immediately suspend or terminate your account; (b) pursue recovery of the disputed amount through all lawful means; and (c) report the dispute to relevant credit and fraud monitoring agencies. You remain liable for all validly incurred charges regardless of any chargeback filing.
5.4 Billing Errors
If you believe you were charged in error due to a verified technical issue on our part, you must notify us at support@execwrite.com within fifteen (15) days of the charge. We will review in good faith and may issue a credit at our sole discretion. This does not constitute a general refund right.
5.5 Cancellation
You may cancel at any time via your account dashboard or by emailing support@execwrite.com. Cancellation takes effect at the end of the current billing period. Cancellation does not entitle you to a refund of any previously charged amounts.
Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of any third party
- Upload malicious code, viruses, or disruptive content
- Attempt to gain unauthorized access to any part of the Services
- Scrape, reverse-engineer, or copy any part of the Services without written permission
- Share account credentials or resell access to the Services
- Use the Services for any unlawful, harmful, or fraudulent purpose
Violation of this section may result in immediate account termination without refund.
Intellectual Property
All content, tools, software, algorithms, designs, text, graphics, and other materials available through the Services are the exclusive property of ExecWrite or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your own internal business purposes. No rights are granted beyond this limited license.
Data and Privacy
We do not permanently store the Google Ads data you upload to the Services. Uploaded files are processed in real time to generate recommendations and are not retained beyond your active session unless explicitly stated otherwise. By uploading data, you represent that you have all necessary rights and permissions to do so. Please review our Privacy Policy for complete details.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT RESULTS WILL BE ACCURATE OR RELIABLE. USE OF THE SERVICES IS AT YOUR SOLE RISK.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXECWRITE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify, defend, and hold harmless ExecWrite and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any content you upload through the Services.
Termination
We reserve the right to suspend or terminate your access to the Services at any time, with or without cause and without notice, at our sole discretion. Upon termination, your right to use the Services ceases immediately and no refund will be issued for any unused subscription. Sections 5, 7, 9, 10, 11, 13, and 14 survive termination.
Governing Law and Dispute Resolution
These Terms shall be governed by applicable law. Any dispute shall first be submitted to informal negotiation by contacting support@execwrite.com. If unresolved within thirty (30) days, it shall be resolved by binding arbitration. You waive any right to participate in a class action lawsuit or class-wide arbitration against ExecWrite.
Changes to These Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on the Site with a revised effective date. Your continued use of the Services after any modification constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
